englischThe merger of Daimler-Benz and Chrysler was the first cross-border merger of equals involving a listed German stock corporation. In economic terms, this merger was no success story. Its legal structure, however, - the merger by NewCo takeover - is still the lex artis for transactions of this kind. This model repeatedly raised the question - most recently in the merger of Linde and Praxair - whether such a merger is subject to an unwritten general meeting competence according to the „Holzmüller“-principles of the German Federal Court of Justice. This dissertation gets to the bottom of this question.
