The author discusses important issues in connection with the provision on exclusion of liability of Section 93 (4) sentence 1 of the German Stock Corporation Act. In the absence of a corresponding provision in the law governing limited liability companies, the author subsequently examines the extent to which the results obtained can be applied to limited liability companies.

Das Werk soll zu einem rechtssicheren Umgang mit der Frage der „Enthaftung“ beitragen. Während die enthaftende Wirkung einer Zustimmung im Grundsatz anerkannt ist, sind Voraussetzungen und Grenzen im Detail umstritten. Hier setzt die Autorin an und beleuchtet zunächst wichtige Themenkomplexe im Zusammenhang mit der aktienrechtlichen Enthaftungsregelung des § 93 Abs. 4 Satz 1 AktG. Im Anschluss wird – mangels entsprechender Vorschrift im GmbH-Recht – untersucht, inwieweit sich die herausgearbeiteten Ergebnisse auf die GmbH übertragen lassen.
