Die Arbeit beschäftigt sich mit den internen und externen Kontrollmechanismen von börsenfähigen Kapitalgesellschaften in Deutschland und den USA in ihren dualistischen und monistischen Organisationsverfassungen. Anhand der DAX-30-Unternehmen und ihrer US-amerikanischen Pendants werden die Auswirkungen der unterschiedlichen Organisationsverfassungen in der Praxis dargestellt. Diese Analyse wird durch eine Betrachtung des historischen Entwicklungsprozesses ergänzt. Ferner wird der Wirkungsgrad von externen Kontrollmechanismen in Deutschland und den USA untersucht. Auf diese Weise werden die Stärken und Schwächen der beiden Systeme dargelegt. Abschließend wird durch den Blick auf die SE, die seit nunmehr 10 Jahren auch die monistische Organisationsverfassung in Deutschland zur Wahl stellt, der Wunsch nach schlankeren Corporate Governance-Strukturen in Deutschland deutlich.
englischThe thesis analyses the internal and external institutions of corporate control of business corporations in Germany and the US with special regard to the differences of one-tier and two-tier boards. The practical implications of these are examined with respect to the DAX 30 companies and their US counterparts. This analysis is supplemented by a description of the historical development of theses institutions. Furthermore, the efficiency of external institutions of control in Germany and the US is reviewed. Hereby the strengths and weaknesses of the two systems are highlighted. Finally, an analysis of the SE which has been providing an alternative form of corporate governance in Germany for the last ten years, including a one-tier board system, makes clear that there is increasing demand for leaner corporate governance structures in Germany.
