In der über 200-jährigen Kodifikationsgeschichte des Aktienrechts hat sich das Beurkundungserfordernis für Gründungssatzungen von Aktiengesellschaften bis heute als eine der ältesten Vorschriften des deutschen Aktienrechts erhalten. Die Arbeit untersucht Entstehung, Herkunft und wissenschaftliche und praktische Handhabung derjenigen Normen, die eine notarielle Beurkundung der Satzung bei Gründung einer AG sowie von Beschlüssen der Hauptversammlung auf dem Gebiet der Bundesrepublik Deutschland forder(te)n. Die Untersuchung erstreckt sich auch auf bislang kaum bzw. unbekannte historische Aktiengesetze und Aktiengesetzentwürfe und tilgt so verschiedene weiße Flecke auf der Landkarte der Aktienrechtsgeschichte. Die vorgenommene historische Betrachtung liefert neue Erkenntnisse über diesbezügliche Formzwecke, die Rechtsfolgen von Satzungsbeurkundungsmängeln sowie die Protokollierung sog. „gemischter Hauptversammlungen“ – mithin über die Verselbstständigung von Formvorschriften im Laufe der Zeit.
englischMore than 200 years after the first time that stock corporation law was codified the formal requirement of notarising a German stock corporation’s initial articles of association is still in force. This book explores the origins, development and theoretical and practical reception of legal provisions which require(d) both a Ger-man stock corporation’s initial articles of association and any resolutions passed at one of its general meetings to be notarised in the Federal Republic of Germany. Its investigations unveil both previously unknown historical German stock corporation laws as well as their respective draft legislation. It also provides new insights into the purpose of such formal requirements, the consequences of notarisation defaults and minute-taking at so-called “mixed general meetings”, i.e. amongst other things into the process of formal requirements becoming autonomous over the course of time.
