englischIn recent years, the reform of stock corporation law’s right to deficient resolutions has repeatedly been the subject of legal discussion in Germany, for example at the 72nd German Jurists Forum in Leipzig in 2018. This work contributes to this discussion by examining how the legal systems of Germany, England and the USA ensure the procedural protection of (minority) shareholders. It pays special attention to the question of the importance of legal protection against resolutions made at a company’s shareholder meeting in the legal systems considered and to the reasons for the different weighting of their differing forms of legal protection.
