For this purpose, the business model of activist short sellers is first analysed in actual terms and then assessed against the standard of Art. 12 MAR. The focus is on the systematic coverage of the prohibition provision. The legal analysis is supported by a well-founded economic analysis.
Wirecard, Adler & Co.: Das Aufkommen von Leerverkaufsattacken hat zu einer lebhaften Diskussion über deren rechtliche Zulässigkeit im Marktmissbrauchsrecht geführt. Die Untersuchung beantwortet die spannende Frage, unter welchen Voraussetzungen das Phänomen aktivistischer Leerverkäufer als verbotene Marktmanipulation gemäß Art. 12 MAR einzuordnen ist. Hierfür wird zunächst das Geschäftsmodell aktivistischer Leerverkäufer in tatsächlicher Hinsicht analysiert und anschließend rechtlich an den verschiedenen Tatbeständen des Art. 12 MAR gemessen.
