englischIn matrix organisations, matrix managers assume control of the operational business units that are detached from legal structures and give instructions to the employees integrated into them. The thesis focuses on this right to give instructions under labour law and shows how and within what limits it can be exercised by a matrix manager. In addition, aspects of works constitution law are examined and the rights and obligations of employees managed by a matrix manager are analysed. Furthermore, the thesis also deals with the question of whether the shareholders' meeting of a German limited liability company in a de facto group can delegate the right under company law to give instructions to a matrix manager.
Bei Matrixorganisationen übernehmen Matrixmanager die Steuerung der operativen, von rechtlichen Strukturen losgelösten Geschäftsbereiche und erteilen Weisungen an die dort integrierten Arbeitnehmer. Die Dissertation widmet sich schwerpunktmäßig diesem arbeitsrechtlichen Weisungsrecht und zeigt auf, wie und innerhalb welcher Grenzen es durch einen Matrixmanager ausgeübt werden kann. Zudem werden betriebsverfassungsrechtliche Aspekte beleuchtet und die Rechte und Pflichten der durch einen Matrixmanager geleiteten Arbeitnehmer untersucht. Weiterhin beschäftigt sich die Arbeit auch mit der Frage, ob die Gesellschafterversammlung einer GmbH im faktischen Konzern das gesellschaftsrechtliche Weisungsrecht auf einen Matrixmanager delegieren kann.
