englischThe author discusses the effects of the extended information requirements under Art. 13 et seq. GDPR on the possibility to prepare corporate transactions confidentially. In addition to fundamental issues, including the historical development and current system of the information requirements as well as legal consequences in the event of violations, the effects of information requirements in typical due diligence audits are considered in particular. In order to resolve the highly practice-relevant conflict between the duty to inform and the confidentiality interests of the transaction parties, the author analyses options to avoid information requirements with regard to their legal admissibility and practical suitability.
Der Autor erörtert die Auswirkungen der durch die DSGVO erweiterten Informationspflichten nach Art. 13 f. auf die Möglichkeit, Unternehmenstransaktionen vertraulich vorzubereiten und durchzuführen. Neben Grundlagenfragen der historischen Entwicklung und gegenwärtigen Systematik der Informationspflichten, der Normadressaten sowie der Rechtsfolgen bei Verstößen, wird insbesondere das Eingreifen der Informationspflichten in typischen Due Diligence-Prüfungen betrachtet. Zur Auflösung des praxisrelevanten Konfliktes zwischen Informationspflichten und Vertraulichkeitsinteressen der Transaktionsparteien analysiert der Autor Möglichkeiten der Informationsvermeidung auf ihre rechtliche Zulässigkeit und praktische Tauglichkeit hin.
