englischOn January 1st, 2024, the most comprehensive reform of partnership law so far will come into force. By then at the latest, the right of termination for good cause will be the most important extraordinary right of rescission in partnership law. In order to be able to answer why the legislator has seen a need for reform in this respect and has established the right of resignation as the new guiding principle in the system of partnerships, this study starts with the current legal situation. On this basis, a fundamental understanding of the right of termination under the current and future version of the law is being developed - partly on the basis of completed developments, partly on the basis of a discussion of existing disputes.
Am 1. Januar 2024 tritt die bisher umfangreichste Reform des Personengesellschaftsrechts in Kraft. Spätestens dann wird das Austrittskündigungsrecht aus wichtigem Grund das zentrale außerordentliche Lösungsrecht im Personengesellschaftsrecht sein. Um beantworten zu können, weshalb der Gesetzgeber in dieser Hinsicht Reformbedarf gesehen und die Austrittskündigung als das neue Leitbild im System der Personengesellschaften festgeschrieben hat, setzt diese Untersuchung bei der geltenden Rechtslage an. Davon ausgehend wird – zum Teil aus abgeschlossenen Entwicklungen, zum Teil aus der Auseinandersetzung mit bestehenden Streitständen – ein grundlegendes Verständnis des Kündigungsrechts nach geltender sowie künftiger Gesetzesfassung entwickelt.
