englischThe consulting of a company by a lawyer, who is at the same time member of the Supervisory Board, on the basis of a consultancy contract is within the scope of the regulations of §§ 113, 114 AktG. In the case a lawyer consults the company also the professional regulations for lawyers are applicable. The subject of the paper is the interface between company law and professional law. Problems arising of consultancy contracts between companies and law firms related to a member of the Supervisory Board are on the focus of the paper. It precisely clarifies the scope of the professional law, defines the relevant provisions for the extension of the scope of §§ 113 f. AktG and for the subsequent approval, which is still an unresolved issue.
Berät ein Aufsichtsratsmitglied (ARM) die AG nicht nur im Rahmen seines Aufsichtsratsmandats, sondern auch auf Grundlage eines Beratungsvertrags, unterfallen solche Verträge den §§ 113, 114 AktG. Wird die Beratungsleistung von einem dem Aufsichtsrat angehörigen Rechtsanwalt erbracht, ist auch das anwaltliche Berufsrecht betroffen.
Die Schnittstelle zwischen Berufs- und Aktienrecht ist Thema der Arbeit. Im Vordergrund steht die Auseinandersetzung mit Problemen, die durch den Abschluss von Beratungsverträgen mit Rechtsanwaltssozietäten auftreten, denen das ARM angehört. Die Arbeit konkretisiert die Anforderungen an die Erweiterung der §§ 113 f. AktG auf solche Beratungsverträge. Sie stellt die berufsrechtlichen Grenzen von Beratungsverträgen dar und leistet einen Beitrag zur Klärung der praxisrelevanten und auch durch den BGH im Fall "Fresenius" nicht abschließend geklärten Frage, ob und unter welchen Voraussetzungen der Aufsichtsrat solche Verträge nachträglich billigen kann.
