englischThis book is the first attempt of transferring the discussion of ‘compliance-organisations’ from the Aktiengesellschaft (stock corporation) to the GmbH (limited liability company). As such the analysis is of enormous interest not only for legal sciences but also for business economics.
At the outset the author determines the liability risks of the company bodies in regard of organisational fault. On this basis he delivers long awaited answers to the question of how to arrange an organisation of compliance within the limited liability company. Moreover, the book offers numerous new legal approaches to central legal problems of the compliance discussion such as contractual compliance clauses, consequences of a corporate criminal law, liability of management board members for company fines, causality and ascertainment of loss in regard of violating compliance-rules.
Ultimately, concrete legislative proposals for improving the organisational law are made.
Im vorliegenden Werk wird die bislang vornehmlich aktienrechtlich geprägte Compliance-Diskussion erstmalig grundlegend auf Unternehmen in der Rechtsform der GmbH übertragen. Die Untersuchung ist daher für die Betriebs- und Rechtswissenschaft gleichermaßen von großem Interesse.
Zunächst bestimmt der Autor für die jeweiligen Gesellschaftsorgane die Haftungsrisiken aus Organisationsverschulden und entwickelt darauf aufbauend praxistaugliche Ausgestaltungsmaxime für eine Compliance-Organisation in der GmbH. Zugleich werden zu zahlreichen aktuellen und ungeklärten Rechtsproblemen aus dem Bereich der Compliance, wie z.B. der Verwendung von Compliance-Klauseln in Privatrechtsverträgen, den Auswirkungen eines Unternehmensstrafrechts, der Organhaftung für Unternehmensgeldbußen sowie der Kausalität und Schadensermittlung bei Compliance-Verstößen, neue Lösungswege aufgezeigt.
Die Arbeit schließt mit konkreten Vorschlägen für gesetzgeberisches Handeln im Bereich des Organisationsrechts.
Ausgezeichnet wurde die Arbeit mit dem Harry-Westermann-Preis der Rechtswissenschaftlichen Fakultät der Westfälischen Wilhelms-Universität Münster (2. Platz) sowie dem Dissertationspreis der Esche Schümann Commichau Stiftung.
