englischOn 9th April 2014, the European Commission proposed a directive on single-member private limited liability companies (SUP-proposal). Since then, there have been vehement discussions on the question whether the German legislator should adopt a legislature on limited liability companies which have been formed exclusively online. The dissertation primarily analyses the online registration of limited liability companies and the warranty of the identification of the founder. The scientific benefit of the dissertation lies in its extensive gathering of argumentation in favour of and against online registration and the critical analysis of the same which it provides. In particular, the dissertation contains a profound outlook on how the methods of electronic identification may be developed further in the age of digitalisation. Accordingly, the European Commission is planning to publish a legislative proposal providing for the mandatory use of digital technologies throughout a company's life cycle in February 2018.
