englischIn view of the increasing relevance of Germany’s Investment Limited Partnership, the author examines the impact of the German Investment Act (Kapitalanlagegesetzbuch) on private equity structures. He concludes that the typical principles of corporate law do not apply to it. Instead, the Investment Limited Partnership displays unique features, especially with regard to the management of a private equity fund. The author thoroughly discusses the application of case law related to the non-regulated Limited Partnership. In this context, he focuses on liability issues concerning the individuals in question. Finally, the author points out that the German Investment Act can be taken as a role model for certain fields of corporate law. By way of illustration, the author draws the reader’s attention to the controversial issue of board membership of a legal entity.
