englischUsing an interdisciplinary approach, this thesis examines the choice of the correct company valuation method in cash compensation cases under stock corporation law. In addition to the economic status quo, the legal requirements and current case law are analyzed in detail. The stock market price is discussed not only as a minimum price, but also as an approximation of the enterprise value. The comparative legal view of the USA reveals significant differences in the legal and economic spheres. As a result, the author argues for a more quantitative approach in the choice of method, since no method is currently qualitatively superior.
Die Arbeit untersucht in einem interdisziplinären Ansatz die Wahl der richtigen Unternehmensbewertungsmethode in aktienrechtlichen Barabfindungsfällen. Dabei werden neben dem wirtschaftswissenschaftlichen Status quo die gesetzlichen Vorgaben sowie die aktuelle Rechtsprechung eingehend analysiert. Der Börsenkurs wird hierbei nicht nur als Untergrenze, sondern auch als Annäherung an den Unternehmenswert diskutiert. Der rechtsvergleichende Blick auf die USA offenbart wesentliche Unterschiede in der rechtlichen und wirtschaftswissenschaftlichen Sphäre. Im Ergebnis spricht sich der Verfasser für einen stärker quantitativ orientierten Ansatz aus, da gegenwärtig keine Methode qualitativ vollends überzeugen kann.
