englischSince the revision of Swiss LLC law in 2008, the private limited company has become available in addition to the familiar, flexible public limited company in Switzerland. This work maps out the alterations to the Swiss private limited company and compares them to the regulations of the personalised public limited company. Since the 2008 revision, the attraction of the Swiss private limited company has steadily increased; however, there is still a need for action by the legislator. The German private limited company is used for comparative purposes – partly as a model, partly as a vehicle for criticism – in order to contribute, by offering individual solutions inspired by the respective legal systems, to their mutual inspiration, and to support legal practice in optimising these corporate forms. Both the German and the Swiss legal system suggest some supremely helpful approaches to facilitating the handling of private limited companies.
