Economically their tokenization is likely to become highly relevant, especially for AGs (stock companies) and GmbHs (limited companies). In this work the author examines the hitherto rarely researched legal framework. For that purpose he analyses the applicable law, but also potential legal political developments. One approach is the eWpG, which will be extended to electronic shares by the Financing for the Future Act (Zukunftsfinanzierungsgesetz) in the medium term. After critical examination, this work presents a concept with a broader vision and a more subtle dogmatic underpinning.
Bekannt geworden durch Kryptowährungen, ist die Blockchain auch als Grundlage für die Abbildung von Gesellschaftsanteilen geeignet. Deren Tokenisierung dürfte in Zukunft insbesondere bei AG und GmbH wirtschaftlich hochrelevant werden, weshalb der Autor im vorliegenden Werk den bisher wenig erforschten rechtlichen Rahmen untersucht. Dafür analysiert er das geltende Recht, aber auch Ausgestaltungsmöglichkeiten für die rechtspolitische Entwicklung. Einen Ansatzpunkt bietet das eWpG, welches durch das Zukunftsfinanzierungsgesetz mittelfristig auch auf elektronische Aktien erweitert werden wird. Die Arbeit stellt nach kritischer Auseinandersetzung demgegenüber ein Modell mit größerem Weitblick und feinerem dogmatischen Unterbau vor.
