englischThus far, German law insufficiently addresses liability regarding wrongful voluntary disclosure on capital markets. In view of the great influence of information on the pricing of financial instruments, a new regulation seems necessary. Such regulation should be based on existing liability provisions on the one hand and specific characteristics of voluntary disclosure on the other hand. With this objective, I propose a respective supplement to sections 97 and 98 of the German Securities Trading Act (WpHG).
Angesichts der hohen Bedeutung von Informationen für die Preisbildung am Kapitalmarkt ist die zivilrechtliche Haftung für freiwillige Kapitalmarktkommunikation im deutschen Recht bislang nur unzureichend geregelt. Abhilfe verspricht eine gesetzliche Neuregelung, die sich einerseits an der existierenden Kapitalmarktinformationshaftung orientiert, andererseits aber auch die Eigenheiten freiwilliger Kommunikation berücksichtigt. Das Werk unternimmt den Versuch, eine solche Neuregelung als Ergänzung zu den §§ 97, 98 WpHG zu formulieren.
