englischThis book contains contributions by leading figures from academia and business on current controversial problems related to company meetings and decision-making in private limited companies and limited commercial partnerships from both a theoretical and practical perspective. Although there is an abundance of jurisdictional material on this problem area, partly from the German Federal Court of Justice, a great deal of legal uncertainty on a number of individual issues remains, and opinions expressed in research literature and the courts are often diametrically opposed. The intensive discussions on those contentious issues engaged in here by representatives from academia and the judiciary, and experienced lawyers and notaries heighten the arguments on the one hand, and yet also reveal commonalities on the other. While the contributions in this book provide an excellent overview of the current state of opinions (those disputed and those that are indisputable), their authors also take a firm stand on controversial issues and make sharp criticisms when they feel there is good reason to do so.
