englischThe book covers the so far rarely discussed relationship of capital markets law and competition law. An integrated, efficient and transparent capital market requires market integrity. Efficient implementation of capital market regulations requires harmonization of the different means of enforcement. Therefore the author analyzes the aims of capital markets law and competition law. Afterwards, he discusses several types of capital markets information, such as public disclosure of inside information or prospectuses. He concludes that the competition law, especially the confiscation of profits rule, can be an important factor in enforcing capital market regulations. Particular attention is also given to the market abuse regulation, which entered into force in 2016.
Das Werk behandelt das bisher wenig diskutierte Verhältnis von Kapitalmarktrecht und Lauterkeitsrecht im Zusammenhang mit Kapitalmarktinformationspflichten. Da beide Rechtsgebiete an entsprechende Informationen spezifische Anforderungen stellen, ergeben sich theoretisch reizvolle und in ihren Auswirkungen praktisch bedeutsame Wertungsfragen. Diesen geht der Autor systematisch nach, indem er zunächst die Zielsetzungen beider Rechtsgebiete vergleicht, um die so gewonnenen Erkenntnisse dann bei der Erörterung bestimmter Kapitalmarktinformationen, wie Ad-hoc-Publizität oder Wertpapierprospekten, fruchtbar zu machen.
Die Arbeit kommt zu dem Ergebnis, dass sich durch eine differenzierte Anwendung des Lauterkeitsrechts auf Kapitalmarktinformationen Effizienzvorteile erzielen lassen. Als relevantes Durchsetzungsinstrument wird unter anderem der Gewinnabschöpfungsanspruch identifiziert. Besonderes Ausgenmerk liegt auch auf der 2016 in Kraft getretenen Marktmissbrauchsverordnung.
