The paper examines under which conditions (in particular when a GmbH & Co. KG is restructured into an SE & Co. KG) co-determination is transferred to an SE & Co. KG and when the SE & Co. KG remains permanently free of co-determination.
Due to the before-and-after principle of the SEBG, the way in which the company is restructured into an SE & Co. KG is determining. Structural changes to the SE can lead to the obligation to renegotiate co-determination at company level. The cases in which there is an obligation to renegotiate the rights of co-determination will be identified.
Mit der Rechtsform SE & Co. KG ist es möglich, Mitbestimmung auf Unternehmensebene zu vermeiden und bestehende Mitbestimmung zu beenden. Die Arbeit untersucht, unter welchen Voraussetzungen bestehende Mitbestimmung (insbesondere bei Umstrukturierung einer GmbH & Co. KG in eine SE & Co. KG) auf die SE & Co. KG übertragen wird und wann die SE & Co. KG mitbestimmungsfrei bleibt.
Aufgrund des Vorher-Nachher-Prinzips des SEBG ist hierbei wesentlich, auf welche Weise die Gesellschaft in eine SE & Co. KG umstrukturiert wird. Strukturelle Änderungen der SE können dazu führen, dass die Mitbestimmung auf Unternehmensebene neu auszuhandeln ist. In welchen Fällen die Pflicht zur Nachholung des Beteiligungsverfahrens besteht, wird herausgearbeitet.
