The justification, structure and effects of this transnational regulation in emerging markets have, so far, hardly been comprehensively examined in legal studies, although the complex of issues is highly relevant. The present book examines this complex of issues and concludes that a transnational law has emerged which determines the regulatory environment for investments in emerging markets and thus, has a material influence on transaction and contract design. First of all, the legal theoretical foundations that are shaped by the development paradigms will be analysed. This is followed by a legal-dogmatic analysis of the relevant norm levels. Finally, an investigation of the effects on transaction and contract design follows.
Investitionen in Emerging Markets unterliegen regelmäßig einer transnationalen Regulierung durch institutionelle Fremdkapitalgeber. Rechtfertigung, Struktur und Auswirkungen dieser transnationalen Regulierung in Emerging Markets sind bislang kaum umfassend und übergreifend rechtswissenschaftlich untersucht worden, obwohl dem Themenkomplex hohe Relevanz zukommt. Die vorliegende Arbeit untersucht diesen Themenkomplex und kommt zu dem Ergebnis, dass sich ein transnationales Recht herausgebildet hat, welches das regulatorische Umfeld von Investitionen in Emerging Markets determiniert und dadurch insbesondere einen erheblichen Einfluss auf die Transaktions- und Vertragsgestaltung hat. Es werden zunächst die rechtstheoretischen Grundlagen analysiert, welche von den Entwicklungsparadigmen geprägt sind. Es folgt eine rechtsdogmatische Analyse der relevanten Normebenen. Schließlich folgt eine Untersuchung der Auswirkungen auf die Transaktions- und Vertragsgestaltung.
