englischBy conducting a comparative study of Germany and Korea, this book addresses the question of when the characteristics or behavior of company directors, employees or agents, such as dishonesty or malice, can be attributed to legal persons.

It first explains what can be regarded as a natural person’s knowledge. Afterwards, the author considers section 166 of the German civil code and section 116 of the Korean civil code as bases for attributing such knowledge and reveals their limits.

Next, he deals with ruling out attributing such knowledge in the case of a dishonest third party who does not deserve protection. In particular, he discusses the question of whether and to what extent the principles of abusing authority can be applied in cases in which attribution of knowledge is abused.

Finally, this work examines the legal character of the obligation to engage in the lawful organization of knowledge, and the question of what the concrete terms of this obligation must be.
