This volume takes this ruling as an opportunity to examine the supervisory board's duty of self-incrimination from a legal-economic and legal-dogmatic perspective. The existing information asymmetry between the supervisory board and the company makes it necessary to disclose one's own misconduct. This duty can be based on the duty of loyalty of supervisory board members as members of corporate bodies.
Dürfen Aufsichtsräte zur Selbstbezichtigung gezwungen werden? Diese Frage hat in der juristischen Literatur bislang wenig Beachtung gefunden. Dies hat sich jedoch mit dem sog. Easy-Software-Urteil des Bundesgerichtshofs vom 18.09.2018 grundlegend geändert.
Der vorliegende Band nimmt dieses Urteil zum Anlass, die Selbstbezichtigungspflicht des Aufsichtsrats aus rechtsökonomischer und rechtsdogmatischer Sicht zu beleuchten. Die bestehende Informationsasymmetrie zwischen Aufsichtsrat und Gesellschaft macht die Offenlegung eigenen Fehlverhaltens erforderlich. Dabei gelingt es, die Pflicht auf die organschaftliche Treuepflicht der Aufsichtsratsmitglieder zu stützen.
