englischThe thesis examines the shareholders’ liability for compensation claims acknowledged by the Bundesgerichtshof in its decision of January 24, 2012 (II ZR 109/11) and further developed in its decision of May 10, 2016 (II ZR 342/14). The thesis traces the development of the liability concept and examines its dogmatic basis. In addition, the thesis analyzes the requirements, addressees, and legal consequences of the personal liability of the shareholders and makes a proposal for an interest-oriented structuring of the liability. The thesis is rounded off with an examination of the statutory and non-statutory options with regard to shareholder liability.
Der vorliegende Band untersucht die vom Bundesgerichtshof in seiner Entscheidung vom 24. Januar 2012 (II ZR 109/11) anerkannte und mit der Entscheidung vom 10. Mai 2016 (II ZR 342/14) fortentwickelte Gesellschafterhaftung für Abfindungsansprüche. Das Werk zeichnet die Entwicklung der Haftungsfigur nach und untersucht ihre dogmatische Grundlage. Zudem analysiert es die Voraussetzungen, Adressaten sowie Rechtsfolgen der Gesellschafterhaftung für Abfindungsansprüche und unterbreitet einen Vorschlag zu einer interessengerechten Ausgestaltung der Haftung. Abgerundet wird das Werk mit der Untersuchung der statutarischen und außerstatutarischen Gestaltungsmöglichkeiten im Hinblick auf die Gesellschafterhaftung.
