englischThis dissertation examines the legal structures of escrow investments and joint property investments. It compares the historical development of these fundamental forms of investment funds and presents their structural approximation as a result of the implementation of Germany’s capital investment code, the Kapitalanlagegesetzbuch (KAGB). In doing so, it focuses on the legal nature of the placement and administration of investment funds, the allocation and withdrawal of shares, along with different contingent liabilities. The study highlights in which areas the implementation of the KAGB has led to escrow investments overlaying joint property investments.
Die Arbeit untersucht die rechtliche Organisation der Investmenttreuhand und der Investmentgesamthand. Sie vergleicht die Entwicklung dieser beiden grundlegenden Formen des Investmentvermögens von den Anfängen bis zur Zusammenführung unter dem KAGB. Dabei liegt der Fokus auf der rechtlichen Ausgestaltung der Anlage und Verwaltung des Investmentvermögens, der Ausgestaltung und Rücknahme der Anteile sowie den verschiedenen Haftungskonstellationen.
Es wird aufgezeigt, in welchen Untersuchungsbereichen die Einführung des KAGB zu einer Überlagerung der Investmentgesamthand durch die Investmenttreuhand geführt hat.
