This book examines, from the perspectives of company law and capital market law, the different defensive measures against hostile takeovers, which could be enforced by the organs of the target company before and during a concrete takeover offer. Drawing a comparison between German law and Chinese law, the author also seeks to demonstrate the differences and similarities between the two legal systems. The book introduces concrete cases from both legal systems and discusses, in particular, whether Chinese listed companies have sufficient freedom in taking defensive measures.
