Accelerated Share Repurchase

The aim of the dissertation is to gain insights into the nature and feasibility of an accelerated share repurchase in Germany. For this purpose, the acquisition method is considered in a multi-dimensional way: The focus is on the question of the extent to which the acquisition procedure is compatible with applicable corporate and capital market law; in this context, the extent to which an accelerated share repurchase is compatible with the nature of the German capital market from an economic point of view and the extent to which the procedure fits into the corporate governance of German companies is taken into account from a legal factual perspective; the answer to these questions is inseparably linked to a comparative examination of U.S. law and legal facts.
