Ad-hoc-Publizität und Related Party Transactions nach ARUG II

Raising the question of Ad hoc disclosure according to Art. 17 MAR and Related Party Transactions according to the German Act Implementing the SRD 2017 (ARUG II), the thesis combines two regulatory regimes that minimize unjustified (information) advantages to the detriment of third parties. The Ad hoc disclosure obligation alone imposes practical challenges to issuers. This thesis identifies new challenges in the practical implementation of both regulatory regimes by shedding light on the interplay between them. In particular, the thesis includes the question of the applicability of Art. 17 (4) and (5) MAR to the RPT publication obligation under sec. 111c (1) German Stock Corporation Act (AktG).
