Description
The author deals with the formation, validity and legal effects of nullifiable resolutions in the law of stock corporations, cooperatives, limited liability companies, residential property companies and commercial partnerships, and elaborates a theory that applies to all forms of associations. For this purpose, he analyzes the teleology of nullifiable resolutions with reference to historical and constitutional aspects. Based on this, he shows that the formation of a nullifiable resolution depends solely on the determination of the voting result. Furthermore, he opposes the dogma of "preliminary validity" and sees nullifiability as a status in which the occurrence of the legal effects depends on the adressee and the situation.
