Auskunfts- und Rederecht versus virtuelle Fragevarianten

For decades, the digitalisation of the general meeting has been a concern of science and practice. With the outbreak of the COVID 19 pandemic, the legislator was forced to act and immediately passed a temporary law that made it possible to hold virtual general meetings. However, this innovation was accompanied by a significant restriction of shareholder rights and was thus unsuitable for permanent implementation in the Stock Corporation Act. In view of the continuing need for reform in the practice of general meetings, the author submits a proposal that allows for the perpetuation of virtual general meetings while at the same time preserving all shareholder rights.
