Beratungsverträge im Corporate Governance-Gefüge der Aktiengesellschaft

Consulting contracts with supervisor board members, which fall under section 114 of the German Stock Corporation Act, are a highly sensitive matter in Germany. The never-ending string of judgments on consulting contracts by the highest German courts illustrates that various questions remain unanswered with respect to this issue. In this work, the author attempts to find a solution which is not only dogmatically sound, but also fulfils the re-quirements on practicality in legal practice.
