The study shed light on the content of the special takeover law in sections 287 et seq. KAGB and concretizes the constituent elements that are decisive for the content and scope of the statutory provisions. Firstly, the corporate law structures of the transactions in question and the connected post-acquisition measures are investigated. Then, the examination of the constituent elements of the scope of application of section 287 et seq. KAGB follows. As part of the analysis of section 292 KAGB, a concept of distribution is developed which serves as a starting point for categorizing the structuring measures relevant in practice. Based on this, the functionality of the special takeover law is assessed.
