Various forms of transformation under the UmwG, such as splitting, merging and changing the legal form, can result in the previous managing director or board member no longer holding an office. However, in addition to their position as a member of the executive body, the executive is also linked to the company by an - often well-remunerated - service contract that does not terminate as a result of the reorganisation. This service contract does not end automatically and is usually concluded for a fixed term of several years. The question therefore arises as to what effects reorganisations under the UmwG have on service contracts. The dissertation examines the legal situation and proposes solutions.
