The work offers an introduction to and in-depth comparison of the GmbHs (a type of llc) in Germany, Switzerland, Austria and Liechtenstein, especially with regard to their creditor protection concepts. It also presents ideas for future developments of the GmbH under consideration of its current functions.
Since 2008, legal codifications of the GmbH have undergone “major” reforms in these countries with the aim of readjusting the balance between owner and creditor interests. Parallels and differences between these forms of organization and developments are examined. Consideration of uncovered weak points lead to suggestions for possible future improvements of the codifications.
