Der Austritt aus wichtigem Grund im Personengesellschaftsrecht

On January 1st, 2024, the most comprehensive reform of partnership law so far will come into force. By then at the latest, the right of termination for good cause will be the most important extraordinary right of rescission in partnership law. In order to be able to answer why the legislator has seen a need for reform in this respect and has established the right of resignation as the new guiding principle in the system of partnerships, this study starts with the current legal situation. On this basis, a fundamental understanding of the right of termination under the current and future version of the law is being developed - partly on the basis of completed developments, partly on the basis of a discussion of existing disputes.
