Der Kapital- und Vermögensschutz in der zweiten Kapitalgesellschaftsform

Initially, the work demonstrates the inefficiency and inconsistency of parts of the capital and asset protection in the GmbH. To develop solutions to this problem the work orients itself on Danish law. Afterwards, on the basis of a comparative analysis, different instruments of capital- and asset protection of the Danish limited liability company, the ApS, are described and evaluated in detail. The results show that in many aspects Danish law could improve the creditor protection in the GmbH without losing sight of shareholders’ interests. Furthermore, the work draws attention to Danish company law, which is not very well known in Germany so far. Ideally, the work may serve as a foundation for further analysis in this field.
