The consulting of a company by a lawyer, who is at the same time member of the Supervisory Board, on the basis of a consultancy contract is within the scope of the regulations of §§ 113, 114 AktG. In the case a lawyer consults the company also the professional regulations for lawyers are applicable. The subject of the paper is the interface between company law and professional law. Problems arising of consultancy contracts between companies and law firms related to a member of the Supervisory Board are on the focus of the paper. It precisely clarifies the scope of the professional law, defines the relevant provisions for the extension of the scope of §§ 113 f. AktG and for the subsequent approval, which is still an unresolved issue.
