With regard to minority protection, the reformed German Debenture Bond Act mirrors many of the respective provisions of the German Stock Corporation Act. This gives rise to the fundamental question as to what extent the regulatory problems in stock corporation and in debenture bond law are actually the same and thus warrant a similar approach in both areas of the law. Across the various aspects of minority protection, the author provides a differentiated answer to this question, which often deviates from the legislative concept underlying the Debenture Bond Act. Consequently, the study also entails many recommendations for further reform.
