Der Strategie- und Mittelherkunftsbericht des Investors gemäß § 43 WpHG (§ 27a WpHG a.F.)

This study makes a significant contribution to the discussion initiated by the German Federal Ministry of Finance on a possible need for change with regard to the regulation of § 43 of the German Securities Trading Act (WpHG).
The study does not only consider the legal requirements or classify the legal facts in the economic functional conditions of the capital market, but – despite its own critical assessment of the regulation – clearly works out the adjusting screws that would have to be turned if a reform legislator wanted to make the regulation more effective.
The author is a lawyer and partner in the area of corporate law and advises mainly on global post-merger integration, carve-out and restructuring mandates.
