Die Anwendung von § 31a BGB im Recht der Kapitalgesellschaften

This volume examines the scope of application of Section 31a of the German Civil Code (BGB), the rather recent provision under association law which links the liability of executive board members to the amount of their annual remuneration and which also affects the liability constitution under stock corporation and limited liability company law by analogy. In order to promote civic engagement, the legislator has set significant liability limits in favour of the executive board members of associations, but also a statutory minimum level. Although the regulations apply analogously under certain conditions in stock corporation and limited liability company law, the legal changes set narrow limits in particular on the possibility to dispose of the liability standard under limited liability company law.
