The thesis examines how stewardship ownership can be implemented under current German GmbH law. Building on a comprehensive overview of its principles, the author derives concrete governance provisions for companies adopting stewardship ownership in the form of a GmbH, presents various approaches to their implementation, and evaluates them from a practical perspective. Focusing on a perpetuation of the capital lock and respecting the principle of shareholder control over the articles of association, the thesis then outlines the boundaries between permissible provisions and impermissible shareholder self-disempowerment before analysing the specific risks of the veto-share model.
