More and more companies and groups worldwide are switching to the matrix structure as an organisational model for reasons of efficiency. In practice, the implementation of the matrix structure under company law is particularly difficult. The thesis confronts these difficulties by showing how (European) stock corporations and German limited liability companies can be legally included in a matrix-organised group and how matrix management and matrix managers can be equipped with the necessary instruction and information rights. Furthermore, the complex legal duties of the involved parties in a matrix structure are explained. In addition, recommendations and templates are provided.
