In contrast to upward information the topic of information duties of a parent company towards its subsidiaries has received next to no attention. This is hardly surprising since efficient information systems are part of a good corporate group governance and since the subsidiaries’ boards might not want to press those who are calling the shots in the supervisory board. The question of whether, when and to what extent a controlling company must provide information in response to questions or even clarify matters on its own initiative nev-ertheless deserves more attention. It not only matters in a crisis, but is relevant every day as a component of group related governance.
