Die Partnerschaftsgesellschaft mit beschränkter Berufshaftung

This publication provides a comprehensive overview of a large number of previously unresolved practical and dogmatic legal issues regarding the German Partnerschaftsgesellschaft mit beschränkter Berufshaftung (a partnership company with limited professional liability). It focuses on the innovative liability concept of the PartGmbB, which it examines in terms of insurance and liability law and evaluates with regard to the practical needs of the legal and business consulting professions.
Subsequently, the study classifies the PartGmbB as a ‘hybrid’ of partnership and corporation elements in the system of German corporate law, while also considering recent developments in Europe.
Furthermore, it compares the PartGmbB with the German GmbH & Co. KG (a limited commercial partnership), since both legal forms are similar in terms of tax and liability. Based on current German case law, this work examines opportunities for liberalisation both in the field of corporate law and with respect to the rules that govern liberal professions.
