Die rechtliche Grundlage der mitgliedschaftlichen Treuepflicht im GmbH-Recht

The question of the legal basis of the duty of loyalty of members of a limited liability company is a "classic" of company law. It has not yet been decided by either the legislature or the supreme court and is the subject of controversial debate in the literature. In this work, the author devotes himself to the academic analysis of this dogmatic topic. In doing so, he not only draws on previous academic approaches and case law on the justification of the duty of loyalty, but also develops new approaches against the background of current literature and case law.
