The CROWDFUND Act serves as the legal framework for investment crowdfunding in the US. This dissertation seeks to examine whether the substantial structuring of the act’s statutory provisions accords with its legislative objectives. It focuses on the legal evaluation and analysis of the value and practicability of the aforementioned provisions, in particular their intention of striking balance between effective capital market regulation in the context of the conflicting priorities of investor protection and facilitating capital formation. Furthermore, it comprehensively answers the questions of how and to what extent these provisions can contribute to maintaining well-balanced investor protection and facilitating capital formation. The purposeful and nuanced solutions presented in this work together with its specific suggestions for improvement de lege ferenda can be understood as a possible stimulus and starting point for more effective regulation of investment crowdfunding in the US.
