Die Satzungsgestaltung bei der Europäischen Privatgesellschaft

It has been under discussion for a long time to create a European company form especially for SMEs operating across Europe. Characteristic of this "European private company" according to the Commission's draft regulation is a far-reaching freedom of contract regarding the Articles of Association.
The thesis deals in detail with the drafting of the articles and first establishes the structure of the respective provisions - mandatory contents of the articles vs. drafting tasks. After an examination of fundamental issues - such as questions of interpretation - the author comments on the individual parts of the AoA - including all drafting tasks.
In the event of a resumption of the legislative procedure, the thesis serves both science and practice as a guideline for the drafting of the articles.
