Die Tokenisierung von Kapitalgesellschaftsanteilen

Having come to public attention in the context of cryptocurrencies, the blockchain is also suitable as a basis for the tokenization of company shares. Economically their tokenization is likely to become highly relevant, especially for AGs (stock companies) and GmbHs (limited companies). In this work the author examines the hitherto rarely researched legal framework. For that purpose he analyses the applicable law, but also potential legal political developments. One approach is the eWpG, which will be extended to electronic shares by the Financing for the Future Act (Zukunftsfinanzierungsgesetz) in the medium term. After critical examination, this work presents a concept with a broader vision and a more subtle dogmatic underpinning.
