If supervisory bodies in German stock corporations (AG) – e.g. supervisory board, auditors or special auditors – assert information rights, this primarily serves to fulfil a superordinate task. It is sometimes deduced from this that enforcement through an action for performance is not possible. However, a comprehensive look at the various monitoring mechanisms shows that double standards are applied in this respect. This study develops a consistent system for the enforcement of information rights that are beneficial to others within stock corporations. It demonstrates that there is no need to recognize “rights beneficial to others” as a separate category alongside own and third-party rights. At the same time, the book contributes to the doctrine of organ disputes.
