In the event of a company demerger, there exists a regular need to not only allocate contracts in their entirety to another legal entity, but also to split them up and, for example, to transfer rental agreements solely with half of the rented business property.
The dissertation examines the related questions of the scope and limitations of the freedom to demerge as granted by the German Transformation Act (UmwG). In particular, it analyses the legal consequences and implications of an allocation of contracts under the law of obligations. This book then answers the question of whether and to what extent contracts can be split up by presenting and examining various forms of legal structures and by pointing out solutions that are practice-oriented and in line with the interests of all parties.
